These Terms of Service (“Terms”) govern your access to and use of info@getclaritylabs.com (the “Site”) and your purchase of products from Clarity Labs (“Clarity Labs,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our products.
1. Research-use-only products
All products sold by Clarity Labs are supplied strictly for laboratory research and development use only. They are not drugs, foods, cosmetics, or medical devices. They are not intended for, and may not be used in, human or veterinary diagnosis, treatment, cure, prevention, or mitigation of any disease or condition, nor for any form of human or animal consumption. By purchasing, you affirm that you will use the products only for lawful in-vitro research by qualified personnel.
2. Eligibility and age
You must be at least 21 years of age and legally able to form a binding contract to purchase from the Site. By ordering, you represent that you meet these requirements and that all information you provide is accurate.
3. Accounts and information
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to keep it updated. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.
4. Purchaser affirmations
By placing an order, you affirm that you are a qualified researcher or an institution engaged in lawful research, that you understand the products are for research use only, and that you will handle, store, and dispose of them in accordance with all applicable laws and good laboratory practice. You agree not to resell or redistribute the products for any use inconsistent with these Terms.
5. Order acceptance
Your order is an offer to purchase. All orders are subject to acceptance by us, and we may refuse or cancel any order for any reason, including suspected misuse, pricing errors, product unavailability, or failure to meet eligibility requirements. A confirmation email acknowledges receipt of your order but does not constitute acceptance.
6. Pricing and availability
Prices, product descriptions, and availability are subject to change without notice. We make reasonable efforts to display accurate information, but we do not warrant that descriptions or pricing are error-free. If a product is listed at an incorrect price, we may cancel the order or contact you for instructions.
7. Payment and billing
You agree to provide a valid payment method and authorize us to charge it for the total amount of your order, including taxes and shipping. If your payment cannot be processed, we may suspend or cancel the order. You are responsible for any charges incurred.
8. Shipping and risk of loss
We ship in accordance with our Shipping & Returns policy. Title and risk of loss pass to you upon our delivery of the products to the carrier. Delivery timeframes are estimates and are not guaranteed.
9. Returns and refunds
Because of the nature of our products, returns and refunds are governed by our Shipping & Returns policy. Except as required by law, opened or used products are not eligible for return.
10. Documentation
Certificates of Analysis (COAs) and related documentation are provided for informational purposes to support your research. You are responsible for independently verifying that a product is suitable for your intended research use.
11. Prohibited uses
You may not purchase or use our products for any human or animal consumption, clinical, diagnostic, or therapeutic purpose, or for any unlawful purpose. You may not use the products in a manner that violates any applicable law, regulation, or third-party right.
12. Acceptable use of the Site
You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, introducing malicious code, scraping content without permission, or using it for any unlawful or fraudulent purpose.
13. Submissions and feedback
Any feedback, suggestions, or other materials you submit to us are non-confidential, and you grant us a perpetual, royalty-free license to use them for any purpose without obligation to you.
14. Third-party links and tools
The Site may contain links to third-party websites or tools that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk.
15. Intellectual property
The Site and its content, including text, graphics, logos, and images, are owned by or licensed to Clarity Labs and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
16. Regulatory and export compliance
You are responsible for complying with all applicable laws and regulations governing the purchase, possession, use, and disposal of the products, including export control and customs laws. You may not export or re-export the products in violation of applicable law.
17. Disclaimer of warranties
The products and the Site are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
18. Limitation of liability
To the fullest extent permitted by law, Clarity Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the products or the Site. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
19. Indemnification
You agree to indemnify and hold harmless Clarity Labs and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use or misuse of the products or the Site, your violation of these Terms, or your violation of any law or third-party right.
20. Termination
We may suspend or terminate your access to the Site or refuse to sell to you at any time, with or without notice, for any reason, including violation of these Terms.
21. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in California.
22. Changes to these Terms
We may update these Terms from time to time. Changes are effective when posted to the Site. Your continued use of the Site or purchase of products after changes are posted constitutes acceptance of the revised Terms.
23. Miscellaneous
These Terms constitute the entire agreement between you and Clarity Labs regarding the Site and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it.
